State and Local Government Finance
Presley Burton & Collier, LLC participates as bond counsel, underwriter’s counsel, issuer’s counsel, trustee’s counsel, and bank counsel in connection with bond issues for states, counties, cities, and other public issuers. These issues include not only typical general obligation (“GO”) bonds and warrants, but also revenue bonds, tax-supported bonds, tax-advantaged financings, and tax-exempt loans and leases. We work with state and local governmental entities, their financial advisors and legal counsel in structuring tax-exempt financings that help build and improve infrastructure such as roads, sewers, schools, public buildings and utilities.
Healthcare
We are a recognized leader in the area of healthcare finance. In the State of Alabama, Presley Burton & Collier, LLC serves as bond counsel to a number of large healthcare systems, private nonprofit hospitals, senior living facilities, and other healthcare providers. In addition, we are frequently engaged to serve as underwriter’s counsel in healthcare financings across the United States.
In the governmental and nonprofit arena, the firm has been called upon to assist with purchases and sales of businesses and facilities; the financing of purchases; long-range strategic planning; post-issuance compliance; and joint venture arrangements between hospitals, physicians and other providers.
Public and Nonprofit Colleges and Universities
Presley Burton & Collier assists public and nonprofit colleges and universities in tax-exempt and other public finance transactions. In the past five years we have served as bond counsel, disclosure counsel or underwriter’s counsel for bond issues aggregating just under $3 billion on behalf of colleges and universities.
Other 501(c)(3) Financings
Organizations that benefit from tax-exempt bond financing include recreational and cultural facilities, charitable organizations and charter schools. We counsel tax-exempt organizations on various tax-exempt loan and lease options, including qualified 501(c)(3) bonds.
Economic Development
Our lawyers are knowledgeable and experienced in the latest financing techniques available to state and local governments and the industries they seek to attract. Various federal legislative initiatives passed in the last several years, including the American Recovery and Reinvestment Act of 2009, the Health Care and Education Reconciliation Act of 2010, the Small Business Jobs Act of 2010, and the Tax Relief, Unemployment Insurance Reauthorization and Job Creation Act of 2010, created new financing opportunities and incentives for both public and private industry.
Mergers and Acquisitions
Presley Burton & Collier, LLC is frequently engaged by tax-exempt clients to provide merger and acquisition counsel. The firm guides the structuring and documentation of acquisitions and sales of businesses, often when the purchase is financed with tax-exempt debt or requires the retirement of tax-exempt debt.
Derivative Products
Through the firm’s concentration in public finance, our lawyers have gained extensive experience with the use of interest rate swaps and other derivative products. The firm represents both swap market makers and end users of derivative products in different contexts. Clients in this area include both public and private entities. Areas of experience include fixed-to-floating and floating-to-fixed interest rate swaps, basis swaps, options for swaps, rate locks, total return swaps and constant maturity swaps. In the public finance arena, the firm provides guidance on the use of swaps as "qualified hedges" in connection with tax-exempt financings.
Defaulted Transactions
Presley Burton & Collier’s experience in structuring transactions positions us well for advising clients involved in transactions that are in default. We advise clients regarding defaults, waivers, continuing disclosure requirements and other matters regarding entities that are no longer in compliance with the terms of their financing documents.
